8. HMRC and Contractor Loans FAQs

   The Summer Finance Bill (once passed later this year) will likely contain tough new anti-tax avoidance measures such as the 2019 Loan Charge.

   There are tens of thousands of scheme users who (knowingly or unknowingly) received contractor loans from scheme promoters over several years and these remain outstanding.

   These users are understandably now concerned about the potential impact of this new charge. Accepting there is a further public consultation about the finer detail still to happen, we hope to try and answer some of your questions based on what we know at this time (July 2017).

   1. Did I receive contractor loans?
      If you used a high returning scheme (retaining 85% + of your contract value) it is likely you were receiving contractor loans. It is possible that fact wasn’t mentioned by over-eager sales agents working on commission so check any documentation you received for references to loans or other substitute terminology like “profit share” or “credit facility.” See also answer to Q5 below.

   2. Were they loans? I thought it was my money?
      Only the parties who entered into the loan agreement know the true intentions and intended outcomes. However, many of the contractors we spoke to have no intention of repaying the loans on the basis it is their money so why would they repay it. This is also why HMRC have cracked down so hard on contractor loans.

   3. Why did they make loans to me?
      That is how you receive the high level of tax efficiency. A genuine loan (for example a bank mortgage) is not income as in future there is an expectation the debt is repaid, so no income tax. A tax barrister likely advised your promoter payments in the form of a “loan” can’t be taxed as income.

   4. I did receive loans, but how do I find out the status of them?
      Contact your promoter(s) if they are still around as many of them have since disappeared. However don’t assume the loans have also gone. Many schemes transferred the right to recall the loans in future into a Trust so even if the lender has disappeared, the party you are indebted to (and thus the loan) will likely still exist.

   5. I never signed the loan agreement, does that mean the charge won’t apply?
      If there is no signed agreement then it is hard to argue it was a loan, therefore they would be classed as an income and thus taxable.

   6. Do HMRC know I received loans?
      That depends on a few aspects about you/ the scheme, for example;

   If you were employed/paid loans by the promoter AND you paid little/no interest on the loans, a P11D should have been filed by them which states the total amount of loans.
   If you recorded the amount of the loans received on your tax return(s), then obviously HMRC will know from that.
   If your promoter ran a DOTAS scheme, the particulars of all users were disclosed to HMRC, so even if they don’t know the exact amount of loans, they should know you received them.
   7. I understood the loans just got written off so surely they aren’t outstanding?
   What you probably weren’t told was under current tax, the writing-off a loan creates a substantial taxable event for the borrower.

   1. When I pay the tax to HMRC, is that the end of this nightmare?
      Not necessarily. Paying additional tax doesn’t mean the loans cease to exist. It is possible that any third party who holds the right to recall the loans in future could still do so in line with the stated terms and conditions.

   2. I’m worried – what are my options?
      Firstly, don’t panic as there is plenty of time to draw up an action plan. Think about;

   Is there a tax agent/advisor you trust to act in your best interests?
   If you have the funds, it can be a good strategy to proactively engage HRMC and discuss the possibility of paying the tax either in one hit or over an agreed timeframe.
   If your promoter is not around, dig out any agreements or promotional literature from them to better understand their scheme. Surprisingly few users knew at the time about how it worked and may now regret that.
   There are short term measures to manage down the future impact such as Certificates of Tax Deposits which can limit the amount of interest due on the tax payment.
   The above list is not exhaustive but merely a starter for ten. The right option depends on your own circumstances and preferred outcome. One thing is clear though – doing nothing is not a viable option as we expect HMRC’s intention to collect as much tax as possible will intensify in the coming months and years.

9. Why Phones Need To Follow CRM To The Cloud

   Telephone systems and PBX’s (Private Branch eXhange) have historically been a hot potato in a business, an important service for users needing firm ownership and the most obvious bucket to be thrown into being that of the traditional IT team. This IT team if often frustrated that they do not have the telecoms experience to know what they are dealing with.
   Over the years I have lost count of the times the IT team has commented (both from customers and businesses I have worked within) of struggling with the telephony component, lacking skills, experience and understanding of the ethos of this historic comms world. The telco world, and it’s approaches and components are very different to the IP based world that traditional IT is used to operating within. Often these historical telephony deployments are also creaking, having through accident and sometimes design, been configured in weird and wonderful ways that now no one is familiar with or has the time to unpick. So IT are keen to have someone else own the problem, but find there is nowhere else to locate it in the business!
   Still today in 2017, a vast number of firms sit in this camp, faced with the challenges of supporting and maintaining telephony systems, often based on ageing technology and bolted together from varying suppliers to achieve delivery of provisioning, PBX, desktop devices and IP interfaces with today’s modern world of softphones and PC and mobile based technologies.
   Often the biggest challenge is when something breaks and the IT team has to circle around, reacting to fix an issue none really has the confidence or experience of. This same team has to maintain, monitor and manage not only telephony, but the breadth of IT services and solutions serving the business.
   The challenge with telephony over, for example, email services or most typical IT services is that it is real time and any degradation in packet quality is seen immediately from both ends of the spectrum, caller and recipient! Send an email that gets delayed and more often than not neither end notices as it is seen as a transient communication method. A phone call is immediate real time two way communication, where any degradation in service results in packet loss and obvious call quality issues to those on the call. Thus, have an issue on your PBX and find your breadth of users complaining about mid call line drops, sound quality (hissing or crackling) or issues making or receiving calls
   This situation is exaggerated quickly when you have multiple sites with local PBX’s and issues to manage on a wider scale. In today’s demanding world to support customers demand for high quality service and response and staffs needs for more flexibility to work anytime, anywhere on any device a new approach is essential.
   So along came VoiP and Cloud Telephony to deliver the common benefits of cloud from better resilience (uptime and performance), removal or reduction in capital costs, faster deployment, easier upgrades and scaling of usage.
   In today’s world there is rarely a logical reason to deploy a traditional physical PBX. As we have already seen in the CRM world where now 50% of all new deployments globally are cloud based (and expected to soon reach 70% of all sales) once Cloud has proven its disruption it will grow fast.
   So with Cloud telephony much of the challenge for the IT team in managing the telecoms for the business is taken away by the cloud provider, except the administration, provisioning and configuration of policies for the business.
   The bigger question is should this even be with the IT team. Take CRM as a business application platform, is this managed by IT? They may have been involved in the initial procurement, providing a security review, a technical approval for fit for the business network and security models, but the day to day management revolves around the business needs. Provisioning and decommissioning users, configuring data presentation (fields, reports, dashboards), managing business rules, helping users, etc – this falls under a CRM Administrator / team.
   So is telephony not an extension of this? A business service that should the technical complexity and implications be removed (using a cloud provider) is better placed being owned and managed by a business services admin as opposed to a technical IT support team.
   Now take another thought initiative and consider integrating your Telephony and CRM, having customer and prospect data supporting the logic of voice interactions.
   The business and customer benefits are obvious in this day of a heightened buyer dynamic expecting and demanding high quality customer service.
   Telephony has been in the hands of the technical IT team out of necessity not choice. Now is the time you are able to choose to put it where it belongs, in the heart of customer centricity land aligned with customer service and sales.

Switching from Waterfall to Agile, from networking to virtualising to Docker, from hosting to IaaS & PaaS and from C, through Java into Swift, Hack and Dart.
    Change is hard to accept at the best of times, particularly if you have previously been the subject expert on a vendor / technology for a long period to now find that is being disrupted at a pace and your worth is diminishing either in your own firm or the market too.
    Staying relevant and of demand is both harder and easier than ever before. Easier if you are willing to continually learn and re-learn, placing yourself in the eye of the demand for new world skills and identifying these wisely around the tech that is of high growth and will leave businesses paying high for the skills they need. Harder if you are stuck in the old world, have plenty of in depth knowledge on a platform or technology, but one that is disrupting fast or if you do not keep an eye on the market changes and demands and yourself get marginalised and disrupted. The days where knowing one platform or technical coding language would last you your career are likely gone. Even the Amazons and Googles of this world are re-inventing themselves and enhancing faster than we have ever seen in the tech sector before.
    The demand for many newer skills is showing signs of exploding and with this comes opportunity. Get on board with the right technology eco-system, get trained and importantly certified and get some experience under your belt and you can likely surf the wave to strong salary or contracting rates.
    
    The Salesforce sector has been lucrative for many years for a growing number of consulting firms and consultants, with the breadth of technology function allowing specialisations in areas such as marketing, ERP and customer application coding.
    The new technology markets (Cloud, IOT, Big Data, AI) are growing at such a pace that the number of job postings is accelerating and yet the talent qualifying for these roles is marginal, pushing the rates up and increasing the chances of highly valued roles or contracts.

    Having experience and certifications in areas such as AWS (Amazon Web Services), MS Azure, Cloud, IOT and Big Data Analytics will quickly enhance your value and likely lead to a job whose role title was not even in use 10 years ago (Data Scientist, Digital Officer, Devops, Big Data Architect and so on…).
    Knowing how and where to best employ the use of IaaS & PaaS to a business’s advantage, how to move old creaking applications to newer models and how to deliver a better quality of service and user experience across the demands of any device, any place, any time working demands will serve you well in the new era of ‘Business User Is King’.
    Businesses now have pressures upon them like never before! Markets that shift quicker, more fickle and demanding customers, users being influenced by or becoming millennials (who expect faster, quicker, easier, cheaper from the world they have grown up within) and disruption all around them from new born firms who can attack with the gusto of using all the new world tech and methods and with no legacy to unchain themselves from.

    Big oil still dominate the Fortune 10 but for how much longer because the times they are a changing? The world is changing around us and these behemoths aren’t as nimble or as innovative as they would like to be. Despite recent developments with the Paris climate accord, the world is steadily moving away from fossil fuels and running towards renewable forms of energy. At some point there will be a tipping point. Peak oil is no longer the discussion in the bars of Houston instead it’s how quickly assets can be developed…… before they are no longer assets. Maybe the world will be a safer place with super-power politics less focussed on security of supply together with the ability of the shale drillers to quickly ramp up or down production. The shale drillers flexibility capping the price of oil despite the best efforts of OPEC.

    The implications of a permanently lower value commodity are already affecting board room decisions. Saudi Aramco is preparing to list and improve transparency of its governance. Western oil companies are re-evaluating their positions and moving away from Frontier Plays to focus on developing existing basins with better understood geology, established infrastructure and secure political agreements. Drilling and producing from Deep Water is also under scrutiny with its excessive costs and very real questions over safety and integrity.

    So what next? The world still needs oil and will for some time. Nuclear is controversial and seemingly always will be…… technological advancements insufficient to overcome the public’s apprehension. Maybe the German government’s decision to step away from nuclear and require decommissioning of its nuclear assets will be a harbinger of change. Gas is, and will continue to be, a focus and there will still be a traditional role for the big oil companies. Don’t worry the dividend is safe for now thanks to aggressive cost cutting! But there has been a tipping point, an emerging confidence that the world can power itself from renewables. Recently rainy cold Britain produced a record amount of solar electricity, nearly a quarter of total demand generated across its PV network!

    So will Big Oil respond by transforming into renewable energy companies? Could they achieve this and still meet the dividend payments to keep their CFOs smiling? Ten years ago BP established a renewables division but perhaps the timing wasn't right. Investment in renewables diverted capital away from developing lucrative oilfield plays and the short term commitments trumped longer term strategic gains. Ultimately there will be change but it will probably be demand driven. The younger generation want renewables, governments want to control their energy resources. How long will it be before one of the majors breaks cover and makes a bold move? Maybe the answer, my friend, is blowing in the wind…
